These Terms of Service and Purchase Terms apply to this website, related public materials, shop purchases, Fixed Memos, reports, advisory engagements, and other services provided by The Heart of AI, LLC.

By using this website, purchasing a service, sending materials for review, or communicating about paid work, you agree to these terms.

1. About the work

The Heart of AI, LLC provides public resources, frameworks, cultural artifacts, behavioral review services, written analysis, documentation review, and advisory support related to AI behavior at the interaction layer.

This work may include AVA, FrostysHat, Human-Grade behavioral review, Fixed Memos, reports, advisory engagements, essays, downloadable materials, and related tools or documents.

Some public materials may be released as CC0 or public-domain resources where clearly stated. That public-domain status applies only to the materials identified as CC0 or public domain. Paid services, private correspondence, submitted client materials, completed reports, business records, nonpublic work, and client-specific deliverables are not CC0 unless expressly stated in writing.

The Heart of AI, LLC provides professional consulting and documentation review focused on AI behavior in use. The work is designed to help clients understand how an AI system behaves across an exchange, where friction or user burden may appear, and where further inspection may be useful.

2. Public resources

Public materials such as AVA, FrostysHat, essays, downloadable documents, and related resources are provided for informational, educational, experimental, and practical use.

These materials may describe frameworks, behavioral rules, tests, hypotheses, examples, and review methods. They are not guarantees of system performance, business results, safety outcomes, compliance outcomes, or model behavior in every context.

Users are responsible for testing and adapting public materials appropriately for their own systems, environments, risks, and requirements.

3. Voluntary support and contributions

Hatcoins are voluntary support or tip purchases for the public work, cultural artifacts, and ongoing development of the project. Donations may be accepted through the site’s donation form as one-time or recurring contributions.

Hatcoins do not purchase equity, governance rights, token rights, cryptocurrency, financial interest, consulting services, or guaranteed deliverables. They are a voluntary contribution made through the site’s shop.

Unless otherwise stated at checkout, Hatcoin purchases are not tied to a specific service deliverable.

4. Fixed Memo service

A Fixed Memo is a productized professional review service.

A Fixed Memo provides a focused written behavioral review of a submitted artifact or small set of closely related materials. Examples may include a transcript, model output, workflow, support flow, prompt chain, product page, onboarding exchange, evaluation sample, or related system material.

The memo is designed to clarify how the submitted artifact behaves in use, where friction or user burden may appear, where trust may weaken, and what part of the system may deserve attention next.

A Fixed Memo is a written diagnostic read. It does not include implementation, engineering work, legal advice, medical advice, financial advice, compliance certification, security audit, or guaranteed remediation.

5. Reports and advisory engagements

Reports and advisory engagements are scoped separately.

A report may involve a broader review across multiple artifacts, product surfaces, transcripts, workflows, prompts, or recurring behavior patterns.

An advisory engagement may involve bounded support over a defined period, including repeated review cycles, written notes, follow-up analysis, framework interpretation, or guidance on how AVA may apply to a product context.

The exact scope, timeline, fee, expected materials, and deliverables for reports or advisory engagements must be agreed in writing before work begins.

6. Right to decline or limit work

The Heart of AI, LLC may decline, pause, limit, or refuse work for any reason, including limited capacity.

This work is time- and attention-heavy. Availability may be limited, and purchase or inquiry does not guarantee acceptance of future work, advisory support, rush review, expanded scope, or follow-up engagement.

Work may also be declined if the submitted materials are outside scope, unsafe, illegal, exploitative, misleading, inappropriate, too sensitive to review safely, insufficiently documented, or likely to require expertise outside the service being offered.

If a purchased Fixed Memo cannot be accepted after materials are reviewed for fit, The Heart of AI, LLC may offer a refund, request different materials, or suggest a different scope.

7. Submission of materials

Clients are responsible for submitting materials that are relevant, complete enough to review, and lawful for them to share.

Do not submit unnecessary sensitive information. Where possible, redact personal information, customer-identifying information, regulated data, trade secrets, confidential third-party materials, or internal details that are not needed for the review.

By submitting materials, you represent that you have the right to share them for the purpose of receiving the requested review.

8. Confidentiality

Submitted review materials and client correspondence are treated as confidential.

The Heart of AI, LLC will use submitted materials to understand the requested work, prepare the relevant memo, report, or advisory output, communicate with the client, and manage the business relationship.

NDAs are welcome where appropriate. If an NDA or special handling requirement is needed, raise that before submitting sensitive materials.

Confidentiality does not apply to materials that are already public, independently known, lawfully received from another source, required to be disclosed by law, or approved for disclosure by the client.

9. Use of deliverables

Unless otherwise agreed in writing, clients may use Fixed Memos, reports, and advisory materials internally for product, evaluation, design, governance, support, strategy, or related business purposes.

Clients may share deliverables internally with their team, advisors, investors, contractors, or relevant stakeholders.

Public publication, resale, repackaging, or external distribution of paid deliverables requires written permission unless otherwise agreed.

The Heart of AI, LLC retains the underlying methods, frameworks, terminology, templates, review structure, and general know-how used to produce the work.

10. Turnaround and timing

Expected turnaround for Fixed Memos is generally stated on the product page and begins after complete materials and necessary context are received.

Turnaround estimates are not guarantees. Timing may be affected by incomplete materials, clarification needs, queue capacity, holidays, technical issues, illness, or other constraints.

Reports and advisory engagements follow the timeline agreed in writing for that scope.

11. Refunds, cancellations, and unused orders

Fixed Memo orders do not expire unless otherwise stated. Once purchased, the review item and context may be submitted when ready.

Refunds may be considered if work has not begun, if the submitted materials are not suitable for review, or if The Heart of AI, LLC declines the work due to fit or capacity.

Refunds may not be available once substantive review work has begun or a deliverable has been provided.

For reports and advisory engagements, cancellation and refund terms should be defined in the written scope agreement.

12. No guaranteed outcome

The Heart of AI, LLC does not guarantee that any review, memo, report, framework, or advisory engagement will improve a model, product, business metric, user outcome, compliance posture, safety result, customer experience, or revenue outcome.

The work is designed to provide structured analysis, behavioral diagnosis, review language, and practical areas for inspection. The client remains responsible for deciding whether and how to act on the findings.

13. Not regulated professional advice

The Heart of AI, LLC provides interaction-layer behavioral review, written analysis, documentation review, and advisory support. The service is not a licensed professional service, regulated expert practice, legal practice, medical practice, financial advisory service, accounting service, compliance certification, security audit, clinical review, or technical implementation service.

Materials related to healthcare, finance, insurance, legal services, employment, education, public benefits, security, or other higher-stakes domains are reviewed from an interaction-layer and behavioral-review perspective only.

Clients are responsible for obtaining appropriate professional, legal, clinical, financial, accounting, compliance, security, regulatory, or technical review where required.

14. Client responsibility

Clients are responsible for their own products, systems, deployment decisions, users, policies, compliance obligations, and implementation choices.

A memo, report, or advisory engagement may identify behavior patterns, risks, friction points, possible system layers, or areas for improvement. It does not transfer responsibility for the client’s product, system, or decisions to The Heart of AI, LLC.

15. Website and materials availability

The website, downloads, public materials, shop pages, and services may be updated, changed, removed, paused, or discontinued at any time.

The Heart of AI, LLC may revise public materials, pricing, service descriptions, product pages, availability, and terms as the project and business develop.

16. Payment processing

Payments may be processed through third-party providers such as Squarespace, Stripe, PayPal, or other services.

Those providers may have their own terms, privacy policies, fees, fraud controls, and payment practices. The Heart of AI, LLC does not intentionally collect or store full payment card details outside the ordinary functions of those providers.

17. Limitation of liability

To the fullest extent permitted by law, The Heart of AI, LLC is not liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost revenue, lost data, business interruption, reputational harm, or decisions made based on public materials or paid deliverables.

To the fullest extent permitted by law, the total liability of The Heart of AI, LLC for any claim related to a paid service is limited to the amount paid for that specific service.

18. Indemnification

You agree not to submit materials you do not have the right to share.

You agree to indemnify and hold harmless The Heart of AI, LLC from claims, losses, damages, liabilities, or expenses arising from your misuse of the website, violation of these terms, unlawful submission of materials, infringement of third-party rights, or use of review findings in your own product, business, or deployment decisions.

19. Governing law

These terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules, unless another governing law is required by a written agreement or applicable law.

21. Changes to these terms
